1. Acceptance of Terms
Brides & Vendors (“Platform”) is operated by Trakem LLC (“Company,” “we,” “us,” or “our”).
By accessing or using the Platform, you agree to be bound by these Terms of Service.
If you do not agree, you may not use the Platform.
2. Nature of the Platform
Brides & Vendors is a matchmaking and introduction platform connecting brides with independent wedding vendors.
We:
Do not provide wedding services
Do not act as an agent for vendors or brides
Do not collect or process payments on behalf of vendors
Do not guarantee performance, availability, or outcomes
All service agreements are directly between the bride and vendor.
SECTION A — TERMS FOR BRIDES
3. Vendor Matching
We curate and suggest vendors based on the information provided by you.
Matches are recommendations only. You are responsible for:
Conducting your own due diligence
Reviewing contracts
Confirming pricing
Verifying availability
We do not guarantee vendor performance, quality, or conduct.
4. Vendor Performance Disclaimer
Brides & Vendors is not responsible for:
A vendor failing to deliver services
Poor service quality
Missed deadlines
Contract disputes
Financial disputes
Personal disagreements
All service relationships are solely between the bride and the vendor.
If you experience issues with a vendor, you may report them to us. After review, we may choose to restrict or remove that vendor from the Platform at our sole discretion.
5. Limitation of Liability (Brides)
To the fullest extent permitted by law, Trakem LLC shall not be liable for:
Indirect damages
Consequential damages
Emotional distress
Event-related losses
Vendor misconduct
Your sole remedy is to discontinue use of the Platform.
SECTION B — TERMS FOR VENDORS
6. Vendor Independence
Vendors are independent businesses.
Nothing in these Terms creates:
Employment
Agency
Partnership
Joint venture
Vendors are solely responsible for:
Service delivery
Contracts with brides
Taxes
Insurance
Compliance with local laws
7. Non-Exclusivity
Vendor participation is non-exclusive.
Vendors may market and provide services independently outside of the Platform.
8. Commission Structure & Non-Circumvention
If a vendor is introduced to a bride through Brides & Vendors and a booking results, the vendor agrees that a commission is owed to Brides & Vendors.
Commission Structure
Commission rates may vary by city, state, service category, vendor tier, promotional agreements, or other marketplace factors.
Each vendor’s specific commission rate is defined in their individual Vendor Agreement or onboarding contract.
The Vendor Agreement governs that vendor’s commission obligations.
A booking is considered confirmed when:
The bride marks the vendor as booked;
The vendor confirms the booking;
Or independent verification confirms that services were secured.
Commission becomes payable upon confirmed booking in accordance with the Vendor Agreement.
Commission applies regardless of whether the booking occurs on or off the Platform if the introduction originated through Brides & Vendors.
Commission Changes
Brides & Vendors reserves the right to modify commission structures at its discretion.
Vendors will receive at least thirty (30) days’ written notice of any commission changes.
Notice may be provided via email and/or updated commission documentation.
Revised commission rates apply only to bookings secured after the effective date of the change.
No commission changes will apply retroactively to previously confirmed bookings.
Continued participation on the Platform after the effective date constitutes acceptance of the revised commission structure.
Reporting & Enforcement
Vendors agree to accurately report bookings resulting from introductions made through the Platform.
Failure to report bookings, attempts to bypass commission obligations, or misrepresentation of booking status may result in:
Immediate removal from the Platform;
Termination of vendor access;
Enforcement of commission obligations as permitted by law.
Brides & Vendors reserves the right to verify booking status at its discretion.
9. Vendor Conduct
Vendors agree to:
Provide accurate information
Represent pricing truthfully
Maintain professional standards
Communicate respectfully
We reserve the right to suspend or remove vendors if:
Misconduct is reported and verified
False information is provided
Commission obligations are not honored
Vendor behavior harms the integrity of the Platform
Removal decisions are made at our sole discretion.
SECTION C — GENERAL TERMS
10. Account Termination
We may suspend or terminate accounts at any time for:
Violation of these Terms
Fraudulent activity
Misrepresentation
Platform abuse
Users may also discontinue use at any time.
11. Intellectual Property
All Platform content, branding, and systems are the property of Trakem LLC and may not be copied, reproduced, or used without written permission.
12. Disclaimer of Warranties
The Platform is provided “as is” and “as available.”
We make no warranties regarding:
Vendor availability
Match accuracy
Booking outcomes
Service quality
13. Limitation of Liability
To the fullest extent permitted by law, Trakem LLC shall not be liable for:
Indirect damages
Consequential damages
Lost profits
Emotional distress
Event-related losses
Total liability shall not exceed any fees paid to the Platform within the prior 12 months.
14. Governing Law
These Terms are governed by the laws of the State of Washington.
Any disputes shall be resolved in the courts located in Washington State.
15. Changes to Terms
We may update these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.
